Executive Liability and Insurance Quarterly Review - Fourth Quarter 2020

In the Fourth Quarter 2020 edition of the Quarterly Review,  we highlight the first SEC settlement with a company for its COVID-19 disclosures. We also highlight additional cases that have addressed whether a federal forum provision in the corporate charter provides the basis to remove cases from state to federal court that were brought pursuant to Section 11 of the Securities Act of 1933. In addition, coverage cases are addressed, including a case interpreting the so-called “bump up” exclusion, as well as cases addressing other exclusionary provisions of an insurance policy and allocation and advancement of defense costs.
